ENGAGEMENT AGREEMENT
This Engagement Agreement (“Agreement”) is entered into by and between

1. Scope of Services
Advisor agrees to provide strategic advisory and related services as described in the selected engagement package (“Services”).
Specific deliverables, timelines, and scope details may be further outlined in writing or during the course of the engagement.
2. Term of Engagement
The engagement shall begin on the effective date and continue for the duration specified in the engagement summary above,
unless terminated earlier in accordance with this Agreement.
3. Fees and Payment
Client agrees to pay Advisor the fees associated with the selected engagement and payment option as outlined above.
Fees are due according to the selected payment schedule.
Unless otherwise stated in writing, all fees are non-refundable.
4. Client Responsibilities
Client agrees to provide timely and accurate information, access to relevant documents,
and reasonable cooperation necessary for Advisor to perform the Services.
Advisor shall not be responsible for delays resulting from Client’s failure to meet these obligations.
5. No Guarantee of Results
Advisor makes no guarantees regarding specific outcomes, financial results, or business performance.
Services are advisory in nature and based on professional judgment and information provided by Client.
6. Confidentiality
Each party agrees to maintain the confidentiality of non-public or proprietary information received in connection with this engagement,
except as required by law.
7. Termination
Either party may terminate this Agreement with written notice in accordance with the termination terms applicable
to the selected engagement. Fees incurred prior to termination remain payable.
8. Limitation of Liability
To the maximum extent permitted by law, Advisor’s liability under this Agreement shall be limited to the fees paid
by Client for the Services giving rise to the claim.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of
{Governing State:ID}, without regard to conflict of law principles.
10. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions or agreements,
whether written or oral.
